Sole Proprietorship vs Limited Company: Choosing the Right Business Structure in Nigeria

Home / Blog / Sole Proprietorship vs Limited Company: Choosing the Right Business Structure in Nigeria

Before CAC registration even begins, you need to decide what kind of entity you are registering. This choice affects liability, taxation, credibility, and how easily you can bring in partners or investors later.

Business Name (Sole Proprietorship)

This is the fastest and cheapest option, suited to freelancers, consultants, and small operations run by one person. The major downside is unlimited personal liability, your personal assets are not legally separate from the business. If the business owes money or faces legal action, you are personally exposed.

Limited Liability Company (LLC)

An LLC creates legal separation between you and the business. Your personal liability is limited to what you have invested in the company. This structure also looks more credible to banks, investors, and larger clients, and makes it possible to bring in shareholders formally.

The tradeoff is more paperwork, higher registration cost, and ongoing compliance obligations like annual returns that a business name does not require.

Partnership

If you are starting with a co-founder and do not want the formality of an LLC yet, a registered partnership is an option, though it carries similar liability exposure to a sole proprietorship, shared between partners.

What Actually Matters When Deciding

Ask what your realistic liability exposure looks like. A consulting business with minimal risk may be fine as a business name initially. A business handling client funds, physical products, or contracts with real financial exposure should seriously consider an LLC from the start.

Also consider your growth plans. If you intend to raise investment, bring on formal shareholders, or eventually sell the business, starting as an LLC avoids a costly restructuring later.

You Can Change Structure Later, But It Costs More

Converting from a business name to an LLC later is possible but involves additional cost and paperwork compared to registering correctly the first time. If there is real uncertainty, it is usually worth getting guidance before registering rather than after.

Every business is different. What works for one may not work for another. If you are unsure which structure fits your situation, we are always available for a conversation.
